IMPORTANT NOTE TO THE USER

Please read this licence agreement carefully. By agreeing to these Terms & Conditions, you are purchasing a limited license to obtain a report or other content from PTOLEMUS.

References to PTOLEMUS and PTOLEMUS Consulting Group relate to PTOLEMUS srl, a company registered in Belgium under company number BE 0820.589.316 and headquartered 363 Avenue Louise – 1050 Brussels – Belgium, and any related companies of the PTOLEMUS Consulting Group. “The User” means the company accessing a report published by PTOLEMUS, which may be only represented by duly authorised staff. “The Study” refers to any report supplied by PTOLEMUS to the user including all attached materials such as market forecasts spreadsheets.

“Studies” or “reports” refer to all content – including all attached materials such as market forecast spreadsheets – published on PTOLEMUS’s web site, received in an e-mail from PTOLEMUS or supplied by PTOLEMUS in any other manner. As used in these Terms and Conditions, the term “Web site” refers to the web site located at www.ptolemus.com.

By using our web site you are agreeing to be bound by the following terms and conditions. PTOLEMUS reserves the right to change these Terms and Conditions without prior notification of the User.

1- Copyright and licensing conditions

The Study is proprietary to PTOLEMUS and the copyright and all other intellectual rights entirely belong to PTOLEMUS.

The User acknowledges that PTOLEMUS is the sole owner of all the intellectual property rights related to the Study which has been produced by PTOLEMUS and which are licensed hereunder. The report is protected by copyright laws of Belgium which are applicable to Users worldwide, international treaty provisions and applicable law in the country where it is used. None of the material, nor its content, nor any copy of it, may be altered in any way, or transmitted to or distributed to any other party or re-published.

Upon the User’s full download of the Study , PTOLEMUS grants to the User a limited, non-exclusive license, in perpetuity to use the Study’s materials.

Any copies that the User makes as permitted herein, must contain the same copyright and other proprietary notices. The User agrees not to modify, adapt or translate the Study. The intellectual property rights of any unduly produced translation or adaptation of the Study shall strictly belong to PTOLEMUS.

The User agrees that it will not disseminate any information contained in the study to any person not currently employed by the User’s company and that the use of the information shall be limited to its employees for use in furthering their business objectives. If the Study is transferred by the User to other companies or third parties, the User agrees that it will pay immediately PTOLEMUS the retail price of the Study (including VAT) for each company or third party that has had access to the Study.

If the User wishes to disseminate a free Study published by PTOLEMUS, it agrees to contact PTOLEMUS at [email protected] to investigate such special licensing possibilities. Would the User disseminate – freely or otherwise – a free Study published by PTOLEMUS without its express written agreement, the User would immediately indemnify PTOLEMUS with a one-off fee of Euro 100,000 to compensate for the loss of visibility to PTOLEMUS.

This provision shall extend even after the revocation of this agreement.

If the User wishes to quote a figure, a fact or any other item from the Study in a public statement, its license allows it to do so provided it indicates that the source is PTOLEMUS Consulting Group.

Any unauthorised distribution of the reports in whole or part to any third person or entity not employed by the User shall constitute a breach of this Terms & Conditions Agreement. The provisions of this article shall survive the termination of this Agreement.

If the User believes that any content posted on the Web site infringes its copyright or other intellectual property rights, it should contact PTOLEMUS via email to [email protected].

2- Liability of PTOLEMUS

PTOLEMUS made every effort to ensure information presented in the Study is accurate and complete at the time of the publication. The User is however reminded that the Study contains estimations and forward-looking statements that could not be verified at that time. PTOLEMUS does not accept liability for any direct, indirect, special, consequential or other losses or damages of whatsoever kind arising out of access to, or the use of the Study or any information contained in it.

Any links on the web site or in the Study are only for your convenience of use. They do not represent an endorsement, and PTOLEMUS is not responsible for their content.

3- Liability of the User 

The User certifies that it is a company duly registered in the country where it is based. The User, if based within the European Union, must provide the VAT registration number of its organisation upon request. Should the User not provide its VAT registration number when placing an order, PTOLEMUS reserves the right to charge Belgian VAT if the User is based in the European Union.

The User understands that providing current and truthful identifying information when accessing content is a precondition of use. Failure to provide accurate information will result in PTOLEMUS unilaterally revoking the User’s license and not refunding the purchase price. PTOLEMUS reserves the right to pursue other legal proceedings against the User as a result of the User’s false identification.

4- Payments and delivery 

All prices are in Euro (€) and exclusive of VAT if nothing else is stated. Payments are made in advance by the User and a link to download the Study will be sent by e-mail to the address provided once PTOLEMUS has received the agreed sum from the User. Credit card payments are normally processed within 48 hours after the purchase is made.

5- Cancellation and returned goods 

The User formally recognises that the value of the Study lies in its reading and that it cannot be returned and reimbursed once it has been downloaded. The User should make its judgment based on the information provided by PTOLEMUS before the purchase to evaluate the interest of the Study.

All sales are final once the order is placed and are not refundable.

6- Privacy policy

PTOLEMUS is committed to ensuring that your privacy is protected. In some cases, you may be asked for personal data to gain access to content or the Study in order to verify your identity. PTOLEMUS collects this information for internal record keeping, to improve its products and services and to inform the User of potential news and reports that may be of interest to the User.

We may periodically send you promotional e-mails about new offers, special products or other information which we think you may find interesting.

We will honour all requests to not receive such e-mails within a reasonable amount of time. Links to unsubscribe will be present in each e-mail we send.

7- Remedies upon breach

It is expressly agreed by the User that the information be provided to the User as per this agreement is of a highly confidential nature. Therefore, if the User breaches the obligations of these Terms & Conditions, it will result in irreparable harm to PTOLEMUS and PTOLEMUS shall be entitled, as a matter of right, and by agreement to injunctive or such other equitable relief as is necessary to restrain any further breach or disclosure. The aforementioned remedies shall in now way limit PTOLEMUS’ rights to pursue any legal and/or equitable remedies arising from the User’s breach of these Terms & Conditions.

In the event of a breach of these Terms & Conditions, the license granted herein shall immediately terminate and upon such termination, the user shall immediately return all reports from PTOLEMUS that the User has downloaded. The User shall also immediately return all reports to PTOLEMUS in its possession upon PTOLEMUS’ request.

9- Termination

This Terms & Conditions Agreement may not be voluntarily terminated, except by written agreement between the parties.

10- Governing law 

These terms and conditions shall be governed in accordance with the laws of Belgium. The courts of Brussels shall have exclusive jurisdiction over any dispute arising out of the User access to this website and the Studies produced by PTOLEMUS.

In the event that any or any part of the terms contained in these terms and conditions shall be determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term shall to that extent be severed from the remaining terms, which shall continue to be valid and enforceable to the fullest extent permitted by law.

The provisions of this article shall survive termination of these Terms & Conditions agreement.

IN WITNESS WHEREOF, the User has read the Terms and Conditions of this limited license Agreement and is agreeing, on the date of its approval, to all of the Terms and Conditions set forth above.
